Signing a commercial lease without legal review is one of the most common — and costly — mistakes business owners make. Understanding key lease provisions can protect your business for years to come.

The Stakes of a Commercial Lease

A commercial lease is typically a 3–10 year commitment representing one of the largest fixed costs a business carries. Unlike residential leases, commercial leases are governed almost entirely by contract — there is very little statutory protection for commercial tenants in California.

Key Lease Provisions

Base Rent and Escalation Clauses

Commercial leases commonly include annual rent escalations at a fixed percentage (e.g., 3% per year) or tied to CPI. A 3% annual increase compounds significantly over a 10-year lease term.

Gross vs. Net Lease (NNN)

In a gross lease, the tenant pays flat rent. In a NNN lease, the tenant also pays their share of property taxes, insurance, and CAM charges. CAM charges can be substantial and are often negotiable.

Permitted Use

Ensure the permitted use clause is broad enough to accommodate your business plans and future growth.

Exclusivity Provisions

If your business depends on limited competition, negotiate an exclusivity clause preventing the landlord from leasing to a direct competitor nearby.

Assignment and Subletting

The ability to assign your lease or sublet your space is critical for business flexibility. Negotiate for "reasonable consent" standards on landlord approval.

Renewal Options

Lock in renewal options at predetermined rent levels. Without a renewal option, your landlord can dramatically increase rent or refuse to renew.

Personal Guarantee

Negotiate to limit personal guarantees with "good guy" clauses, capped guarantee amounts, or burn-down provisions to reduce your personal exposure.
