Understanding M&A Transactions

The M&A Process

1. Letter of Intent (LOI)

Establishes basic deal terms — purchase price, structure, exclusivity period, and key conditions. While typically non-binding on the final deal, certain provisions like confidentiality and exclusivity are binding.

2. Due Diligence

The buyer's investigation of the target business covering financials, contracts, IP, employment matters, litigation history, and regulatory compliance.

3. Purchase Agreement

The definitive binding contract covering representations and warranties, indemnification provisions, closing conditions, and post-closing covenants including non-competes.

4. Closing

Documents are executed, consideration is paid, and ownership transfers. Post-closing obligations may include earn-outs, transition services, and indemnification management.
